Although ranked fifth by the jury, Mills was all prepared to exit what with her farewell speech ready hidden underneath her dress! AstraZeneca must drive R&D

Carl Icahn has done it again... Another company caught unaware, another helpless Board crumbling under shareholder pressure & biotech firm MedImmune was taken (in just 2 months of his acquiring a small 1.2% stake in the firm)! On April 23, 2007, MedImmune sold off to AstraZeneca for a whopping $15.6 billion. The valuation represents a 20.83% premium over MedImmune’s previous closing share price of $48.01 (total premium of $3.44 billion), which raises a question on the logic behind the deal.

MedImmune has been bought at twice the relative sum (valued at 5.8 times the annual sales) as Germany’s Merck KGaA had bought Europe’s largest biotech firm Serono AG in 2006. But look at the string of failures that AstraZeneca had over just the past one year, and the step makes some sense. After spending a whopping $3.9 billion in R&D during 2006, it reported failure of all four late-stage drugs – Exanta (anti-blood clot), Galida (anti-diabetic), NXY-059 (stroke) & AGI-1067 (heart). Clearly, it needs additions to its pipeline.

In spite of more than 0.5 mn children in India suffering from AIDS and 53% of sexual abuse victims between 5-18 years, the matter’s still debated. The conservatives are resisting discussing the ‘taboo’ issue with kids, and schools in Maharashtra, Madhya Pradesh and Karnataka have banned sex education as a subject for students. The pictures portraying the anatomy of the human body were likened to pornography and the activists felt that such exposure would encourage children to be sexually active.

To merge or not to merge

M&As are growing, but caution a must

The continued hype over recent Mergers & Acquisitions (M&As) is not without reason. While Indian corporations may be riding the M&A juggernaut like a bull on a rampage, the underlying fact is that in today’s globalised markets, M&As are necessary to ensure competence on an international scale. Their importance can be highlighted by the fact that they deliver manifold purposes like increasing marketing share, generating economies of scale, increasing revenues, diversification, product innovation and vertical integration.

Some of the movers and shakers in recent times have been the offer by Porsche to take over Volkswagen, the EDS-Mphasis acquisition, Arcelor- Mittal acquisition, the IBM-ISS acquisition, the Barclays-ABN Amro acquisition, Google’s acquisition of YouTube, et al. Back home too, we have seen some frenzied M&A activity. Some instances are Tata-Corus, Jet-Sahara merger and the Vodafone buyout of Hutch-Essar.

However, quite a few mergers fail to deliver, like Daimler-Chrysler, HPCompaq and GE-Honeywell to name a few. Research proves that as a norm, most M&As end up being wealth destroyers, not to forget culture clashes and massive job losses due to redundant positions. It only goes on to show that M&As need to be carefully planned out. If companies tend to focus too much on the positives, they stand to lose much more than they hope to gain. 4Ps

A majority of Fortune 500 firms have traditionally avoided hiring MBA CEOs. Professor Harry Mintzberg, one of the noted management authors, last year regurgitated a similar thought process when he said, “MBA programs train the wrong people in the wrong ways with the wrong consequences...” Guy Kawasaki, a known management author and himself an MBA, threw up much worse with respect to entrepreneurial firms, “I don’t think an MBA matters very much...” How would you describe such a distinct playing-to-the-gallery thought process? I have one word for it... Stupid! It is unbelievable that in today’s world, there could be anyone supporting such a blunderingly hollow ‘anti-MBA’ viewpoint.

The ensuing Scottish elections expose the bitter English-Scottish divide

If pollsters are to be believed, the first of May celebrations marking the 300th anniversary of the union between England & Scotland are most likely to be cut short – the pro-independence Scottish Nationalist Party (SNP) is currently reported to be way ahead of the Labour Party in Parliamentary Elections due to be held on May 3. Speaking to B&E, the London-based former Journalist of BBC World Service, Pervaiz Alam said, “The Labour Party (the single largest party in 2003 elections) is in for a rude shock. Post elections, not only will they have to grapple with vexed issue of Scottish independence, but also reinvigorate their efforts to prevent their sliding fortunes at the national level.”

These days, stories abound of Asian companies giving well entrenched American behemoths a run for their money; both in the US and many emerging markets. Toyota, Honda, Nissan, LG, Samsung, Lenovo and Haier are just a few names, amongst the flurry of Asian brands that are poised to dominate global Inc.

The sorry saga of the American appliance major Whirlpool’s tryst with the Indian market is simply a case under consideration. It entered the market with limitless ambition, underestimated the competition from nimble footed Korean chaebols and ended up with a whimper! Infra‘stuck’ture? Not anymore

You can’t have the cake and eat it too! Surely, while talk about umpteen carriers joining the domestic aviation space and the vigorous annual growth of 28% in the sector would cheer you up, the very thought of cramped-up space and poor infrastructure brings back frowns.

The modernisation drive for the Chhatrapati Shivaji International Airport (CSIA) in Mumbai is currently in progress under Mumbai International Airport Limited (MIAL, a part of GVK). But it was never easy for the giant with the road strewn with challenges galore, confirming which, G. V. Sanjay Reddy, MD, MIAL stated, “The space available is less compared to the other international airports in India. This is a big challenge we have to counter. The bigger challenge however, is to modernise a working airport.” With an investment of Rs.70 billion spread over a period of two decades (of which Rs.58 billion will be invested in the first seven years), Mumbai looks set to own a world class airport.

CSIA crossed the 20 million mark in passenger traffic figures for the period from April 2006–February 2007. This is the first time that total traffic handled by a particular airport has surpassed the landmark figure. It recorded a total passenger traffic of 20.29 million (13.56 million domestic & 6.73 million international) for the eleven month period, signifying a 21.28% increase over the same period last year. Furthermore the traffic during December 2006 was also a record at 2.15 million, which was the highest ever monthly count for any Indian airport.

And in the midst of this rising passenger traffic & CSIA struggling for breathing space, GVK’s progress will be keenly watched on this front.

Keeping India's 'Flag' high at LSE

Reliance Communication's (RComm) Flag Telecom is all set to hit the London Stock Exchange through an Initial Public Offer (IPO). Flag Telecom is RComm's fully-owned subsidiary and runs a fibre bandwidth network connecting a major part of the globe. Goldman Sachs and Deutsche bank have been hired by RComm to manage the proceedings of the IPO which is said to be completed in three months’ time. According to analysts, the company is worth $2 billion and it is believed that through divestment of 10- 15% equity, Anil Dhirubhai Ambani Group (ADAG) will be able to recover 10 times of hat it paid to acquire Flag Telecom in 2002 ($211 million). Part of the proceeds of the IPO will go into funding its expansion plans, announced last year.

If sheer statistics were anything to go by, the tea industry of Vietnam is ‘sheer’ly going great guns! With the country producing no less than forty different varieties of the hot beverage, six varieties are exported to sixty countries in Asia, America and Europe. Amongst the eighteen bulk buyers, Pakistan, India, China & Russia have been instrumental in Vietnam posting tea export . gures of an estimated 100,000 tonnes worth $110 million. All driving the country to come 7th in terms of tea production and 6th in tea exports in the world (Food and Agriculture Organisation). Having said that, there is still a lot of untapped potential for this blooming sector, with the government building a national tea brand the “che viet” and looking to furrow into markets in UK, Germany, US, Australia, Thailand, Russia, China & Ukraine. With exports estimated to touch $1 billion by 2020, it’s surely a cuppa that one would love to dip into... ain’t it?!

There is something strange about Apple. An innovative and creative mind mixed with a total misunderstanding of market trends, it seems. If we go back in time, when the Mac reigned supreme over the micro/personal computer world there was no contest between the very polished and intuitive interface of the Mac against the crude data center approach of the Microsoft products. And the people at Apple developed this arrogance that only market dominant companies can have: They were the IBM of the PC, and IBM was the Apple of the mainframe. Twenty two years later, Apple is still stuck in consumer products, and still completely obtuse when it comes to market evolution.

With the disintegration of Soviet Union in the early 1990s, and with Russia becoming more of an ally than a threat, the viability & existence of NATO was no doubt at stake. SEZs on hold, millions to behold

In West Bengal, the Salim Group will develop the SEZ and also build a 100 km six-lane expressway bypassing Kolkata and the new township at Rajarhat & Salt Lake.

Reliance Industries announced an investment of Rs.670 billion in the Jamnagar SEZ where Chevron is a partner, and another Rs.400 billion to set up the SEZ on 25,000 acres of land between Gurgaon and Jhajjar, near Delhi. The Adani group plans to pump in Rs.250 billion in ports and SEZs. DLF plans SEZs at Ambala (2,500 acres) and Gurgaon (19,880 acres); it is investing Rs.8 billion in a 1,100 acre SEZ in Amritsar. Unitech has obtained clearance for a Rs.100 billion, 20,000-acre SEZ in Haryana and the Ansals have joined hands with the housing finance major, HDFC, for developing a Rs.10 billion IT SEZ in Noida (NCR).

With new avenues in Indo-US legal services opening up, the good news for legal practitioners in India is that they would now have the option to rake in more moolah working for multinational legal firms. Thanks to the recent decision taken by the Deputy US Trade Representative Karan Bhatia and Indian Commerce Secretary Gopal Pillai; the Bilateral Working Group on Legal Services comprising prominent legal professionals, representatives of US and Indian law firms, the American Bar Association and the Bar Council of India will be constituted in 2007.

With economic and military relations between the two nations registering robust trends, it is imperative to enhance synergies in the legal field to ensure smooth bilateral commerce, because “Legal services are integral to today’s complex, global economy,” says Karan Bhatia. “The lawyers from either country are not permitted to practice in the other, the latest initiative will help in ironing out the legal wrangles for co-operation,” thumps Supreme Court advocate Mala Narain.

The Working Group will be looking at promotion of Legal Process Outsourcing (LPO) sector. Currently, Indian LPO holds only 4% share in the international LPO sector, the major player of which is undoubtedly the US. One of the reasons for co-operation is that a majority of Indian legal professionals are not really in tune with global legal practices demanded by MNCs.

This welcome development will not only help the lawyers to attain better international standards, but also provide better services to common man in India and help introduce a semblance of order in the Indian courtrooms afflicted with inordinate delays and dirt. Ahem, at least that’s what we hope!
